These Terms & Conditions (“Terms”) govern the use of services provided by Hello Infinity Business Solutions (“Company”, “we”, “our”, or “us”) to any client (“Client”, “you”, or “your”) through our website, email, digital communication, or any direct engagement.

By entering into any form of agreement or communication with Hello Infinity, you agree to be bound by these Terms.

1. Scope of Engagement

All engagements are strictly defined by mutually agreed project briefs, proposals, or Service Level Agreements (SLAs) and are executed under one of our defined Engagement Models:

  • Project-Based
  • Monthly Retainer / Dedicated Team
  • Virtual CTO / Technology Advisory
  • Time & Material (T&M)

Deliverables, timelines, and cost structures will vary depending on the selected engagement model and the nature of the project.

2. Custom Proposals & Estimates

Proposals and estimates shared by Hello Infinity are based on the best understanding of your stated requirements. Any major changes in scope, features, or timelines may lead to a formal revision of timelines, budgets, and deliverables.

We reserve the right to charge additionally for out-of-scope requests or changes made after the approval of the initial scope.

3. Payments & Invoicing

  • All payments are to be made in full as per the invoicing schedule defined in the engagement document.
  • For project-based engagements: Payments are milestone-based unless agreed otherwise.
  • For retainer or advisory models: Payments are due monthly in advance.
  • Invoices are payable within 7 days unless otherwise specified.
  • Late payments may attract interest at the rate of 1.5% per month or the maximum permitted by law.

4. Intellectual Property

  • All intellectual property (IP), source code, assets, and creative works developed under a fully paid engagement shall belong to the client, unless otherwise stated.
  • Hello Infinity retains the right to showcase completed work in our portfolio or case studies unless a non-disclosure agreement (NDA) prohibits it.

5. Confidentiality

Both parties agree to maintain strict confidentiality of sensitive or proprietary information exchanged during the course of an engagement. This obligation survives the termination of the engagement.

6. Timeline and Delivery

While we make every effort to meet committed delivery timelines, these are estimates, not guarantees. Delays caused by factors outside our control (e.g., delayed feedback, third-party integrations, force majeure events) shall not be held against us.

7. Revisions & Change Requests

Revisions are limited to what is specified in the engagement agreement. Any additional revisions, redesigns, or functional enhancements will be treated as a change request and may incur additional costs and revised timelines.

8. Termination Policy

Either party may terminate the engagement with a written notice of 15 days. On termination:

  • All completed work up to the date of termination will be delivered upon full settlement of dues.
  • Any advance payments made for unutilized time or scope may be forfeited, unless stated otherwise.
  • No refund shall be issued for work already delivered or initiated.

9. Disclaimers

  • We do not guarantee any specific business outcomes, rankings, or traffic levels unless contractually stated.
  • We are not liable for damages, losses, or issues arising from third-party platforms, APIs, hosting providers, or client-supplied content.

10. Limitation of Liability

Our total liability for any claim related to services provided shall not exceed the amount actually paid by you to Hello Infinity in the preceding three (3) months of the relevant engagement.

11. Jurisdiction & Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, and the courts of Bangalore, Karnataka shall have exclusive jurisdiction over any disputes.

12. Changes to Terms

Hello Infinity reserves the right to update or modify these Terms at any time. Continued use of our services or communication after any such changes constitutes acceptance of the revised Terms.
